You agree that you may not, and may not permit others to, transmit electronically, download electronically or in hard copy, post to a database or to the Internet, or otherwise reproduce in any fashion any portion of the Cogent Valuation M&A Database™ except as expressly authorized in this limited Single User License Agreement.

You, as the single user are authorized to download into electronic storage and to print hard copies of a reasonable number of pages. You agree that you will not attempt to download, either in electronic or in hard-copy format, our entire site or any substantial portion of it. You agree that the User ID and Password you use to enter the subscription areas of the Cogent Valuation M&A Database™ site are to be used only by you. The use of your User ID and Password by other individuals is a violation of this limited Single User License Agreement.

The Cogent Valuation M&A Database™ contains material which may be copyrighted under the laws of the United States and elsewhere and may now or in the future be protected under other forms of legal protection as such may be made available by law. The Cogent Valuation M&A Database™ contains trade secrets and confidential information of Cogent Valuation. In addition to the terms set forth herein, your consent to the terms of this agreement means that you agree NOT to disclose any substantial portions of the database to others except for purposes of disclosing a reasonable number of comparable transactions in a valuation report or similar work product of your. In doing so, you agree to identify the source of the information and to retain all copyright and other proprietary notices contained on the materials. Furthermore, in doing so, you agree to place appropriate copyright notices on all valuation report or other forms of work product that you release which includes any data or any conclusions from the Cogent Valuation M&A Database™. You may NOT otherwise distribute, modify, transmit, reuse, report, resell, or use the contents of the Cogent Valuation M&A Database™ without the express written permission of Cogent Valuation.

Cogent Valuation may at any time revise this Limited Single User License Agreement. If Cogent Valuation revises this Limited Single User License Agreement, you will be required to agree or disagree with the revised version before you will be permitted access to the product again. If you agree to the revised Limited Single User License Agreement by clicking on "I agree to the Terms of Use", you will then be bound by its terms and conditions. If you don't agree to the revised Limited Single User License Agreement, your subscription to the product will be canceled and you will receive a prorated refund for the unused portion of your subscription to the product.

You accept the following Limitation of Warranty: WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR YOUR PARTICULAR PURPOSES. WE WILL NOT BE LIABLE FOR ANY DAMAGE OR LOSS OF ANY KIND ARISING OUT OF OR RESULTING FROM YOUR POSSESSION, ACCESS, OR USE OF THE COGENT VALUATION® M&A DATABASE INCLUDING, BUT NOT LIMITED TO, LIABILITY ARISING FROM YOUR RELIANCE ON THE CONTENTS OF THE DATA SET, ERRORS IN THE DATA, AND DATA LOSS OR CORRUPTION, REGARDLESS OF WHETHER SUCH LIABILITY IS BASED IN TORT, CONTRACT, OR OTHERWISE. IF THE FOREGOING LIMITATION IS HELD TO BE UNENFORCEABLE, OUR MAXIMUM LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT OF THE FEES EARNED BY US FROM YOU SUBSEQUENT TO YOUR ENTERING INTO THIS AGREEMENT. THE REMEDIES AVAILABLE TO YOU AGAINST US UNDER THIS AGREEMENT ARE EXCLUSIVE. NOTE THAT SOME STATES DO NOT PERMIT LIMITATIONS ON IMPLIED WARRANTIES OR LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. CERTAIN OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

You agree that any and all disputes arising in connection with the terms of this Limited Single User License Agreement and Limitation of Warranty shall be resolved under and construed according to the laws of California, exclusive of its choice of law principles. You further agree that any such proceedings may be brought only in the state or federal courts of California and that you will submit to the jurisdiction of said courts.
